<p><span dir="RTL">بسیاری بر این عقیده اند که شرکت­های عملی به علت نداشتن شخصیت حقوقی، تجاری نیستند. اکنون فارغ از همه اختلافات با رویکردی جدید، از نگاه مالیاتی و جهت دست­یابی به اقتصاد سالم به آنها نگریسته می شود. درآمد شرکتهای تجاری از مهمترین منابع مالیاتی دولت­ها است. شرکت­های عملی، عدم شناسایی خود از طرف دولت را دستاویزی برای فرارهای بزرگ مالیاتی قرار داده و از باب تبعیض مالیاتی، نارضایتی سایر مؤدیان را منجر می گردند. شناسایی شخصیت حقوقی برای شرکت­هایی که به قصد فرار مالیاتی اقدام به ثبت نمی کنند، حداقل اقدام قانونگذار در جهت ممانعت</span> از این فرار است. با روی آوردن به چنین رویکردی و با توجه به اینکه بسیاری از حقوقدانان، نظم جامعه را در گرو عدم شناسایی شخصیت حقوقی چنین شرکت­هایی می دانند، سؤالی که پیش می­آید این است که آیا از دید حقوق مالیاتی نظم جامعه چنین نظری را می پذیرد؟ و آیا توسل به مقررات مالیاتی می­تواند در شناسایی شخصیت حقوقی این شرکت­ها مؤثر باشد؟ این سؤالات و پاسخ آنها موضوع اصلی این مقاله را تشکیل می­دهند. رویکرد مالیاتی، برهانی محکم برای شناسایی شخصیت حقوقی شرکت­های عملی (موضوع ماده 220 قانون تجارت) است</p>
<p><strong>Abstract</strong></p>
<p>Many believe that de facto Corporations are not commercial due to the lack of legal personality. Here, they are viewed through a new approach from the tax and state rights perspective in order to achieve a healthy economy in the framework of companies’ law. The Commercial companies’ income is the most important tax resources of governments. The de facto corporations’ failure to register themselves as taxpayers result in major tax evasion, tax discrimination, and finally discontent among other taxpayers. The legislators must take actions to reconnaissance legal personality of these companies which have not been registered for the purpose of tax fraud. Since many jurists believe that social order depends on non-recognition of legal personality of these companies, by resorting to such an approach, a question arises from tax law perspective; does social order accepts the above opinion? And is it possible to effectively identify legal personality of these companies by using tax regulations? These questions and their answers are the main subject of this paper. The aforesaid tax approach is the reasonable logic to identify the legal personality of de facto Corporations.</p>
